Amicus Brief Challenges Unfair Licensing Requirements for Arizona Small Business

PHOENIX, AZ—NFIB, the nation’s leading small business association, filed an amicus brief in the case Greg Mills and Southwest Engineering Concepts, LLC v. State of Arizona at the Arizona Supreme Court. This case concerns the state’s registration requirements for small engineering businesses.

NFIB filed the brief with the Goldwater Institute. The brief highlights how the Arizona Board of Technical Registration’s licensing requirement is unconstitutional because it restricts economic liberty. It argues that economic liberty, or the right to work to provide for oneself and one’s family, is a fundamental right in Arizona law.

The NFIB Small Business Legal Center protects the rights of small business owners in the nation’s courts. NFIB is currently active in more than 40 cases in federal and state courts across the country and in the U.S. Supreme Court.

Lowenstein Helps Secure Settlement for Survivors of Sexual Abuse in Bankruptcy of Franciscan Friars of California

OAKLAND, CA—The Franciscan Friars of California, Inc. and certain of its affiliates have reached a $20 million settlement agreement in the Friars’ Chapter 11 bankruptcy case with the Official Committee of Unsecured Creditors, represented by Lowenstein Sandler’s Bankruptcy & Restructuring Department. The settlement contemplates the establishment of a trust for the roughly 95 survivors of sexual abuse asserting claims against the Friars, which will be funded with the $20 million settlement payment from the Friars, its affiliates, and proceeds from the settlements with the Friars’ insurers. The agreement remains subject to Bankruptcy Court approval.

The settlement is the culmination of over 13-months of mediation among roughly 15 parties.

The Friars is the first California-based religious entity to have filed for bankruptcy after the California statute of limitations was revived—allowing time-barred sexual abuse claims to be asserted for a period of time—to announce a settlement between the debtor and survivors of sexual abuse.

Lowenstein was selected in 2024 to represent the Committee in this case; the firm also serves as counsel to committees representing the interests of survivors in the Chapter 11 bankruptcy case of the Roman Catholic Bishop of Oakland California, and the Diocese of Camden, New Jersey.

Glenn Agre Secures Settlement for Vector Capital Credit in Anthology Chapter 11 Restructuring

NEW YORK, NY—Glenn Agre Bergman & Fuentes LLP announced that client Vector Capital Credit has reached a settlement in its dispute with education technology company Anthology Inc. over a Chapter 11 plan.

Vector had objected to the plan on the grounds that it did not provide for the litigation costs Anthology owed for Vector’s anticipated defense costs in a pending state-court lawsuit by Anthology affiliate Astra Acquisition Corp, which amounted to more than $7 million.

On Jan. 23, 2026, U.S. Bankruptcy Judge Alfredo R. Perez approved Anthology’s reorganization plan, which incorporated a favorable settlement of that pending prepetition litigation against Vector Capital.

Attorneys Jed I. Bergman, Shai Schmidt, and Jonathan H. Friedman led the Glenn Agre team with significant contributions from Trevor J. Welch, George L. Santiago, Rich Ramirez, and Esther Hong. The team secured the settlement on behalf of Vector along with co-counsel Ken Green, Aaron M. Guerrero, and Bryan Prentice from Bonds Ellis Eppich Schafer Jones LLP.

In 2025, Anthology and its affiliates filed for Chapter 11 protections with $1.8 billion in debt and received permission to send an equity-swap reorganization plan to its creditors. On Jan. 20, 2026, Vector filed an objection to the plan, arguing that it should include a $7.3 million reserve to compensate Vector for expenses anticipated to be incurred in defending against Astra’s 2025 pre-petition lawsuit over the terms of its loan agreement. While Anthology claimed that it was not required to indemnify Vector for litigation costs, Vector argued that its loan agreement “unambiguously” extends indemnification to any expenses.

In addition to being a pre-petition senior secured lender and holder of first-out debt, Vector participated in Anthology’s debtor-in-possession financing. The settlement resolves all outstanding disputes between the parties.
