New Jersey Appellate Division Rules on Behalf of Lowenstein Client First Real Estate Investment Trust Of New Jersey in Dispute With Kushner Companies Subsidiary

ROSELAND, NJ—The New Jersey Appellate Division has ruled on behalf of Lowenstein client First Real Estate Investment Trust of New Jersey (“FREIT”), a publicly-traded real estate investment trust, in a lawsuit arising from a $186 million real estate transaction with a Kushner Companies subsidiary named Sinatra Properties LLC.

According to the recent decision, the appeal involves disputes among sophisticated parties concerning a contract to sell six residential apartment complexes for $186 million. FREIT agreed to sell the properties to Sinatra Properties, LLC, an affiliate of Kushner Companies, by entering into a purchase agreement expressly stating that if the buyers defaulted, the sellers could terminate the agreement, and that buyers Sinatra/Kushner “shall forfeit the Deposit to Sellers and [the] Escrow Agent shall deliver the Deposit to Sellers as liquidated damages.”

When Sinatra Properties failed to close on the transaction, FREIT gave Sinatra notice of a “purchaser default” and ultimately terminated the purchase agreement.

Sinatra Properties initially sued FREIT, claiming breach of the purchase and sale agreement. FREIT asserted counterclaims, claiming that Sinatra Properties had breached the purchase agreement by failing to close in accordance with the agreement’s express terms and thus was liable for $15 million in liquidated damages plus attorneys’ fees as specified in that agreement.

In 2022, the trial court granted summary judgment in favor of FREIT, finding that Sinatra had breached the agreement; however, it ruled that the provision of the agreement entitling FREIT to retain the $15 million deposit as liquidated damages was unenforceable, ordering the deposit be returned to Sinatra. FREIT then brought this appeal.

Today Judges Gilson, DeAlmeida, and Bishop- Thompson of the Appellate Division dismissed Sinatra’s claims, affirmed the award to FRIET, and instructed the trail court to enforce the liquidated damages provision of the contract against the Kushner company. They also affirmed Sinatra must reimburse FREIT $3.4 million in legal fees.

ADL and Brandeis Center File Title VI Complaint Against UMass-Amherst, Alleging Pervasive Antisemitic Climate for Jewish Students

AMHERST, MA—ADL (the Anti-Defamation League) and the Louis D. Brandeis Center for Human Rights Under Law today announced that they submitted a formal complaint against the University of Massachusetts Amherst with the U.S. Department of Education’s Office for Civil Rights (OCR) alleging that the university has failed to address the severe discrimination and harassment of Jewish and Israeli students, which fostered a hostile antisemitic environment. The complaint alleges that since the events on Oct. 7, Jewish students at UMass-Amherst have faced a litany of antisemitic incidents, including a violent assault. The complaint seeks remedies under Title VI of the Civil Rights Act of 1964.

Bailey & Galyen Obtains $3 Million Verdict in Railway Attack Case

April 30, 2024

DALLAS, TX—Attorneys Scott Robelen and Clint Lee, of Bailey & Galyen Attorneys at Law, achieved a $3 million award for their client, John Farley, in a case against Allied Universal Security Services. Farley, a 39-year-old conductor, was brutally attacked at the Trinity Railway Express T&P station in Fort Worth on June 18, 2021, leaving him with severe physical and emotional injuries.

The attack occurred as Farley was preparing the train for its final departure of the day. An individual entered the train and attacked Farley with a knife. Farley filed suit in Tarrant County against Allied Universal Security Services, the company under contract with the Fort Worth Transit Authority to provide security for the Trinity Railway Express. Farley alleged that Allied failed to fulfill its contractual obligation to protect him.

During the week-long trial, Farley’s Bailey & Galyen counsel demonstrated that Allied’s inadequate security measures significantly contributed to the violent attack. In court, Allied attempted to shift blame onto Farley and his employer, Herzog Railway Services, but the jury found Allied responsible for failing to safeguard Farley and awarded him $3 million in damages

Death in 2019 Frito-Lay Industrial Accident Results in $71.95 Million Verdict Against Walker Engineering

DALLAS, TX—A jury in Dallas County has found Irving-based Walker Engineering liable in the death of a worker on one of its job sites and awarded his widow and four children $71.95 million.

Hernan Murillo, 40, of Arlington was one of three workers standing atop a scissor lift while attempting to string new electric lines inside a Frito-Lay facility on Oct. 4, 2019. Mr. Murillo and the others fell 30 feet when another worker operating a boom lift nearby backed into the scissor lift, toppling it over. The other two men suffered catastrophic injuries.

Rather than simply hearing about the accident, jurors witnessed it themselves through video captured by a camera inside the building.

Mr. Murillo’s family was also represented by M. Kevin Queenan and Carlos Lopez of the Queenan Law Firm.

Squillace & Associates, P.C. and Carey Olsen Jersey LLP Prevail in Landmark Case for International Tax Disputes

BOSTON, MA—Squillace & Associates, P.C. and Carey Olsen Jersey LLP jointly represented Brown Brothers Harriman Trust Company, N.A. to address an international tax dispute that spanned from the U.S. to the Isle of Jersey. The case (Court of Record: Royal Court of Jersey, Case Number: [2024]JRC055) concerned the worldwide movable and immovable estates of a married, childless couple who had retired to Jersey in 2008 and died within weeks of one another in 2021.

The couple was comprised of “A” and “B” – A, who was a very wealthy U.S. citizen, and her husband, B, a UK citizen. Both A and B were domiciled in Jersey at the time of their deaths. The Revenue Rule is a common law doctrine that precludes the courts of one jurisdiction from adjudicating and enforcing tax claims of a foreign jurisdiction. It is a longstanding tenet of law in many legal systems around the world, including the U.S. and the Isle of Jersey.

However, in Re. Representation of Viberts Executors Limited and Ross Badger [2024] JRC 005, the Jersey Court recently took the opportunity to develop and finesse the Revenue Rule in a novel fashion by creating a new exception. In its decision, the Jersey Court relied heavily on the expert testimony of Scott E. Squillace, Esq. as to the enforceability of his client Brown Brothers Harriman Trust Company, N.A.’s (“BBHTC”) claim for apportionment of U.S. federal estate tax liability among foreign estate beneficiaries under applicable U.S. law.

BBHTC, as the U.S. personal representative of a decedent who was a U.S. citizen domiciled in Jersey at the time of her death, was obligated to pay federal estate tax liability on the decedent’s worldwide estate under U.S. law, but only had possession of a portion of the decedent’s U.S. assets from which to satisfy the obligation. Although BBHTC had the statutory right under Massachusetts law to seek contribution from the beneficiaries of the decedent’s non-U.S. assets, the claim for apportionment would not have been enforceable in Jersey but for the Jersey Court’s decision to create a new exception to the Revenue Rule. The new exception critically relied on the fact that there were assets custodied in the U.S. that formed part of the decedent’s Jersey estate, over which BBHTC did not have possession, but which BBHTC could immediately enjoin/encumber/freeze by way of U.S. court order if necessary.

The decision is a pragmatic one which will be welcomed by the trust, estate and private wealth industry, as it creates more certainty around when a foreign tax claim will be enforced by the Jersey Court.
