Glenn Agre Secures Settlement for Vector Capital Credit in Anthology Chapter 11 Restructuring

NEW YORK, NY—Glenn Agre Bergman & Fuentes LLP announced that client Vector Capital Credit has reached a settlement in its dispute with education technology company Anthology Inc. over a Chapter 11 plan.

Vector had objected to the plan on the grounds that it did not provide for the litigation costs Anthology owed for Vector’s anticipated defense costs in a pending state-court lawsuit by Anthology affiliate Astra Acquisition Corp, which amounted to more than $7 million.

On Jan. 23, 2026, U.S. Bankruptcy Judge Alfredo R. Perez approved Anthology’s reorganization plan, which incorporated a favorable settlement of that pending prepetition litigation against Vector Capital.

Attorneys Jed I. Bergman, Shai Schmidt, and Jonathan H. Friedman led the Glenn Agre team with significant contributions from Trevor J. Welch, George L. Santiago, Rich Ramirez, and Esther Hong. The team secured the settlement on behalf of Vector along with co-counsel Ken Green, Aaron M. Guerrero, and Bryan Prentice from Bonds Ellis Eppich Schafer Jones LLP.

In 2025, Anthology and its affiliates filed for Chapter 11 protections with $1.8 billion in debt and received permission to send an equity-swap reorganization plan to its creditors. On Jan. 20, 2026, Vector filed an objection to the plan, arguing that it should include a $7.3 million reserve to compensate Vector for expenses anticipated to be incurred in defending against Astra’s 2025 pre-petition lawsuit over the terms of its loan agreement. While Anthology claimed that it was not required to indemnify Vector for litigation costs, Vector argued that its loan agreement “unambiguously” extends indemnification to any expenses.

In addition to being a pre-petition senior secured lender and holder of first-out debt, Vector participated in Anthology’s debtor-in-possession financing. The settlement resolves all outstanding disputes between the parties.

Dallas Appeals Court Orders Jury Verdict Reinstated in High-Stakes Fraud Case

DALLAS, TX—The Texas 5th Court of Appeals has ordered a Dallas trial court to vacate its order granting a new trial and to reinstate a jury verdict in a long-running, fraudulent-transfer dispute, concluding that the trial court abused its discretion by setting aside the verdict based on alleged incurable jury argument.

The ruling directs the trial court to vacate its prior new-trial order and restore the verdict, reaffirming the constitutional role of juries and clarifying the narrow circumstances under which alleged attorney misconduct can justify a do-over.

The case arose against the backdrop of related federal litigation involving some of the same parties and trial counsel, including the widely noted decision by the U.S. Court of Appeals for the 5th Circuit in Clapper v. American Realty Investors, which ordered a new trial based on attorney misconduct. In this state court proceeding, however, the three-judge Dallas appeals court panel concluded that the record did not support extending those findings to justify setting aside a jury verdict under Texas law.

The lease agreement was signed on December 17, 2025, by VIPA and Crown Bay Destinations, L.P., a subsidiary of Cruise Terminals International (CTI), a joint venture between Royal Caribbean Group and funds advised by iCON Infrastructure. The signing ceremony was attended by Governor of the USVI, Albert B. Bryan Jr., Lt. Governor of the USVI, Tregenza Roach, President of the 36th Legislature of the USVI, Senator Milton Potter, Tourism Commissioner Designee of the USVI, Carlton Dowe, Executive Director of VIPA, members of VIPA’s board, and executives from CTI, Royal Caribbean Group, and iCON Infrastructure LLP.

The Shumaker team, led by Partner Howard King, advised VIPA on a long-term lease granting Crown Bay Destinations the right to develop, operate, and maintain the cruise port and related facilities at Crown Bay. The U.S. Virgin Islands is one of the Caribbean’s most sought-after destinations, and Crown Bay serves as a critical gateway, welcoming significant passenger volumes each year and supporting the territory’s tourism-driven economy.

The redevelopment represents a transformative public‑private collaboration to modernize the Crown Bay waterfront. Once completed, the project will expand Crown Bay’s footprint from approximately eight acres to approximately 25 acres and add a third berth. This expansion will allow the port to simultaneously accommodate two Icon Class cruise ships and one Quantum Class cruise ship, significantly increasing the port’s capacity.

The redevelopment will also include substantial infrastructure improvements, including the deepening of the Charlotte Amalie channel; abatement, demolition, and environmental remediation work; development of a new day resort and ground transportation area; and enhancements to Crown Bay Center and the existing cruise pier at the Austin “Babe” Monsanto Marine Terminal.

Shumaker Secures Court Ruling Clearing Donovan “Puff” Johnson to Play

COLUMBUS, OH—Shumaker Law Firm announced today that an Ohio court granted a Temporary Restraining Order allowing Ohio State men’s basketball player Donovan “Puff” Johnson to continue his collegiate career, blocking the NCAA from enforcing eligibility restrictions that would have ended it. The ruling immediately permits Johnson to be able to play for the 2025–2026 men’s basketball season while the case proceeds.

Johnson had petitioned the NCAA for a Medical Hardship Waiver to preserve his eligibility for this current season. The NCAA denied the request and applied its Five-Year Rule, a rigid eligibility clock that limits the total time an athlete may compete at the collegiate level. Together, those decisions would have permanently ended Johnson’s college basketball career.

Shumaker attorneys argued on Johnson’s behalf that strict application of the NCAA’s eligibility rules under these circumstances caused irreparable harm and was likely unlawful under Ohio’s Valentine Act.

In support of the motion, Shumaker submitted detailed reports from two expert witnesses, Dr. David Berri, Ph.D., a sports economist at Southern Utah University, and Dr. B. David Ridpath, Ed.D., of Ohio University, providing a depth of analysis rarely presented at the initial stage of collegiate eligibility challenges.

This case marks the fifth eligibility challenge Shumaker attorneys have brought against the NCAA and the fourth time the firm has successfully secured preliminary equitable relief for its clients. The case was led by Shumaker attorneys Nicholas Stack, Evan Bunis, Diana Florence, Jacob Mertus, Mark Wagoner, and Sports group co-chairs Bennett Speyer and Robert Boland. The Temporary Restraining Order remains in effect for 14 days and may be extended as the case continues.

Pro Bono Institute (PBI) and Partners Establish Successful Virtual Credit Repair Clinic Model for Trafficking Survivors

WASHINGTON, D.C.—In recognition of National Human Trafficking Prevention Month, Pro Bono Institute (PBI), in partnership with Moore & Van Allen, Rutan & Tucker, Alliance to Lead Impact in Global Human Trafficking (ALIGHT), Atlas Free, Justice with Humanity, and the National Survivor Law (NSL) Collective, celebrate the successful launch of virtual credit repair pro bono clinics to help survivors of human trafficking and plans to expand this clinic model. The pilot series consisted of three clinics in the fall of 2025 serving 30 survivors and engaging more than 100 volunteers from 15 law firms and legal departments. The clinics helped survivors with credit repair under the Debt Bondage Repair Act (DBRA), which went into effect in July 2022, and the related Consumer Financial Protection Bureau’s Regulation V. The DBRA is an amendment to the Fair Credit Reporting Act that empowers survivors of human trafficking to block harmful credit information resulting from their exploitation. The pilot series was inspired by virtual clinics held by the NSL Collective, which was discussed at the PBI 2025 Annual Conference. Following the Conference, the need for services by survivors and the level of volunteer interest outpaced the current capacity of the pro bono clinics. This led the NSL Collective to partner with PBI to develop a new national model that engages law firms and in-house legal departments.
